These Terms of Service (“Terms”) govern your access to and use of the websites, waitlist, demos, and related services (collectively, the “Services”) offered by Farha (“Farha”, “we”, “us”, or “our”). By accessing or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
1. Governing law and jurisdiction
These Terms are governed by the laws of the Hashemite Kingdom of Jordan, without regard to conflict-of-law rules that would refer to another jurisdiction. Subject to mandatory provisions of Jordanian law, the competent courts located in Amman, Jordan shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, except where applicable law grants you non-waivable rights to bring claims elsewhere.
2. Electronic contracting
Where you accept these Terms or place orders online, your consent may be expressed electronically in accordance with the Jordanian Electronic Transactions Law and related regulations, to the extent applicable. You agree that electronic records and signatures may be used to evidence your agreement.
3. Description of the Services
Farha provides software and related services to help organisations plan and coordinate employee celebrations (for example birthdays and work anniversaries), including integrations or data imports from human-resources systems, routing to local fulfilment partners, and customer support. Specific features, availability, and service levels depend on your plan, region, and operational status (including pilot or waitlist phases).
4. Eligibility and accounts
You must provide accurate registration information and keep it current. You are responsible for safeguarding credentials and for all activity under your account. You must notify us promptly of any unauthorised use.
5. Corporate customers and employee data
Where you upload or connect employee information, you confirm that you have a lawful basis to do so under applicable law (including, where relevant, obligations under Jordan’s Personal Data Protection Law No. 24 of 2023 and your internal employment policies). Depending on the deployment, you may act as a data controller and Farha may process personal data on your documented instructions. Details are set out in our Privacy Policy and any data processing agreement you execute with us.
6. Orders, fulfilment, and third parties
Celebration deliveries may be performed by independent bakery or logistics partners. Delivery times depend on addresses, partner capacity, weather, traffic, and force majeure events. While we target high on-time performance, delivery dates are estimates unless a binding SLA is expressly agreed in writing for your account.
7. Fees and taxes
Fees are quoted in the currency shown at checkout or in your order form (commonly Jordanian dinars (JOD) for customers in Jordan). Unless stated otherwise, fees exclude applicable taxes, duties, or withholding, which you are responsible for paying where required by law.
8. Acceptable use
You agree not to misuse the Services, including by attempting to gain unauthorised access, interfering with security, scraping in violation of these Terms, uploading malware, or using the Services to violate law or third-party rights. We may suspend or terminate access for material breaches.
9. Intellectual property
Farha and its licensors retain all rights in the Services, branding, and related materials. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to use the Services for your internal business purposes during the subscription or pilot term.
10. Confidentiality
Each party may receive non-public information from the other. The receiving party will use reasonable care to protect such information and use it only for the purpose of providing or receiving the Services, except as required by law.
11. Warranties
To the maximum extent permitted by applicable law in Jordan, the Services are provided on an “as is” and “as available” basis. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement where such disclaimers are legally permitted. Nothing in these Terms limits statutory rights that cannot be waived under Jordanian law, including where you qualify as a consumer under the Consumer Protection Law No. 7 of 2017 and related regulations.
12. Limitation of liability
To the extent permitted by applicable law, Farha’s aggregate liability arising out of or relating to the Services or these Terms shall not exceed the greater of (a) the amounts you paid to Farha for the Services in the twelve (12) months preceding the claim, or (b) one hundred Jordanian dinars (JOD 100) if no fees were paid. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, goodwill, or data, except where such exclusion is prohibited by mandatory Jordanian law (for example in cases involving death or personal injury caused by negligence, or fraud).
13. Indemnity
You will defend and indemnify Farha against third-party claims arising from your misuse of the Services, your violation of these Terms, or your lack of lawful authority to provide employee data, except to the extent caused by Farha’s wilful misconduct as finally determined by a competent court.
14. Term and termination
These Terms apply from your first use of the Services and continue until terminated. Either party may terminate a paid subscription according to the cancellation terms in your order. We may suspend or terminate for material breach after reasonable notice where practicable. Provisions that by nature should survive (including governing law, liability limits to the extent enforceable, and confidentiality) will survive termination.
15. Changes
We may update these Terms from time to time. We will post the revised version with an updated “Last updated” date. Where changes are material and we have your contact details, we will provide reasonable notice in line with applicable law. Continued use after the effective date constitutes acceptance unless applicable law requires a different process.
16. Language
If we provide an Arabic translation of these Terms, the Arabic version may prevail in case of conflict only where required by applicable Jordanian law; otherwise the English version governs for international customers unless expressly agreed in writing.
